Terms and Conditions for Merdot AI

These Terms and Conditions ("Terms") form a binding legal agreement between you and Merdot Technologies, and they govern your access to and use of Merdot AI, including our website at merdotai.com, our Android mobile application, our AI assistant, our AI agents, our tools, our subscription plans, and all related features and services.
Please read these Terms carefully before using Merdot AI. By accessing, registering for, subscribing to, or otherwise using Merdot AI, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference.
If you do not agree with these Terms, you must not access or use Merdot AI.
1. Acceptance of the Terms
1.1 By creating an account, signing in, subscribing, or using any part of Merdot AI, you accept these Terms in full.
1.2 If you use Merdot AI on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to both you and that organization.
1.3 These Terms apply to all users, whether you use a free plan or a paid subscription plan, and whether you access Merdot AI through the website or the mobile application.
1.4 We may publish additional guidelines, policies, or rules for specific features. Those additional terms are incorporated into these Terms, and if there is a conflict, the feature-specific terms govern for that feature.
2. Definitions
2.1 "Merdot AI," "the Services," or "the platform" means the consumer artificial intelligence product, website, mobile application, AI assistant, AI agents, tools, features, and subscription offerings provided under the Merdot AI brand.
2.2 "Merdot," "Merdot Technologies," "we," "our," or "us" means Merdot Technologies, based in Ahmedabad, Gujarat, India, and founded by Rajat Jangid.
2.3 "You," "user," or "your" means any person who accesses, registers for, subscribes to, or uses Merdot AI.
2.4 "Input" means the prompts, messages, instructions, questions, files, documents, PDFs, images, screenshots, voice inputs, text, and other content that you submit to Merdot AI.
2.5 "AI Output" or "Output" means any answer, text, summary, explanation, translation, draft, plan, code, recommendation, generated image, document analysis, or other result generated through Merdot AI in response to your Input.
2.6 "User Content" means, collectively, your Input and any content you submit to, store in, or generate through Merdot AI.
2.7 "Subscription" means a paid plan that gives you access to certain features, billed on a recurring basis.
3. Description of the Service
3.1 Merdot AI is an independent consumer artificial intelligence assistant created and operated by Merdot Technologies. It is designed to help people with everyday tasks in English, Hindi, and Gujarati.
3.2 Depending on your plan and the features you use, Merdot AI may provide:
AI chat and conversation
Writing, drafting, and rewriting help
Document and PDF understanding
Image understanding
Voice input and read-aloud features
AI image generation
Persistent Memory and personalization
Ready-made AI agents for specific tasks
Research and general-knowledge assistance
3.3 Merdot AI is a product experience built by Merdot Technologies. To deliver certain features, Merdot AI uses trusted third-party AI model providers and infrastructure to process your prompts and content, as described in our Privacy Policy.
3.4 The names, labels, modes, and agents shown inside Merdot AI are Merdot's own product labels chosen to make features easy to understand. They are not necessarily the names of any underlying model or provider, and their use does not imply endorsement, sponsorship, or affiliation with any third-party provider.
3.5 We may add, change, or remove features at any time, as described in Section 22.
4. Eligibility and Age Requirements
4.1 To use Merdot AI, you must be capable of forming a binding contract under applicable law and must not be barred from using the Services under the laws of India or your jurisdiction.
4.2 Minimum age. Merdot AI is not directed at children under thirteen (13) years of age. You must be at least thirteen (13) years old to create an account.
4.3 Minors. If you are between thirteen (13) and eighteen (18) years of age, you may use Merdot AI only under the supervision of, and with the consent of, a parent or legal guardian who agrees to be bound by these Terms and who is responsible for your use of the Services.
4.4 Age to make payments. You must be at least eighteen (18) years old to purchase a subscription, add-on, or any other paid feature, or to otherwise make a payment through Merdot AI. If you are under eighteen (18), a payment may be made only by your parent or legal guardian on your behalf.
4.5 Parental responsibility. Parents and legal guardians are responsible for supervising a minor's use of Merdot AI and for any activity conducted under an account they permit a minor to use.
4.6 We may refuse, suspend, or terminate access where necessary for safety, legal, compliance, fraud-prevention, or business reasons.
5. Account Registration and Security
5.1 You may need to create an account to use certain features of Merdot AI. You may register using your email or a supported third-party sign-in service.
5.2 You agree to provide accurate, current, and complete information when you register, and to keep that information up to date.
5.3 You are responsible for keeping your login credentials confidential and for all activity that occurs under your account, whether or not authorized by you.
5.4 You agree not to share your account, sell or transfer your account, or allow unauthorized persons to use your account.
5.5 You agree to notify us promptly at contact@merdotai.com if you become aware of any unauthorized access to or use of your account.
5.6 We are not responsible for any loss or damage arising from your failure to protect your account credentials. We may take steps we consider reasonable to protect the security of accounts and the Services.
6. Subscriptions, Billing, Auto-Renewal, Price Changes, Taxes, Refunds, and Cancellation
6.1 Plans. Merdot AI offers a free plan and one or more paid subscription tiers. The features, limits, and prices of each plan are described on our website and may be updated from time to time.
6.2 Billing through the website. Paid subscriptions are purchased and billed through our website using our third-party payment partner. By subscribing, you authorize us and our payment partner to charge the applicable fees to your chosen payment method.
6.3 Prices inclusive of taxes. Prices shown at checkout for Indian users are inclusive of applicable taxes unless stated otherwise at the point of sale. You are responsible for any taxes, duties, or charges that are your legal responsibility.
6.4 Auto-renewal. Paid subscriptions renew automatically at the end of each billing period, at the then-current price for your plan, unless you cancel before the renewal date. By subscribing, you consent to this recurring, automatic renewal.
6.5 Price changes. We may change subscription prices, plan features, or plan limits. For a price change that affects your recurring subscription, we will provide notice as required by applicable law before the change takes effect, and the new price will apply from your next renewal. If you do not agree to a price change, you may cancel before it takes effect.
6.6 Cancellation. You may cancel your subscription at any time before the next renewal date. Cancellation stops future renewals. Unless required by law, cancellation does not entitle you to a refund of amounts already paid, and you will generally retain access to paid features until the end of your current billing period.
6.7 Refunds. Except where required by applicable law or expressly stated in writing, subscription payments and add-on purchases are non-refundable, partial-period refunds are not guaranteed, and used allowances do not carry forward. We may, at our sole discretion, offer a refund in exceptional cases, and doing so does not create an obligation to do so again.
6.8 Failed payments. If a payment fails, we may retry the charge, suspend or downgrade your access to paid features, or cancel your subscription. You remain responsible for amounts properly due.
6.9 Payment partner. Payments are processed by a third-party payment partner under its own terms and security standards. We are not responsible for failures, delays, declines, or errors caused by the payment partner, your bank, or your payment method.
7. Free Tier, Limits, and Fair Use
7.1 The free plan provides access to core features subject to usage limits, which may change over time.
7.2 Image generation limit. Free users may generate a limited number of AI images per day. As of the effective date, the free image-generation limit is three (3) images per day. This limit may change, and higher limits may be offered on paid plans.
7.3 Other free-tier limits may apply to the number of messages, the availability of certain modes or agents, file uploads, search, and other features.
7.4 Fair use. Even where a plan is described using words such as "high usage," "priority," "advanced," or similar language, no plan is unlimited unless we expressly state so in writing. We may apply reasonable fair-use limits to keep the Services available and reliable for all users.
7.5 We may restrict, throttle, pause, or block usage that is excessive, automated, abusive, fraudulent, harmful, or otherwise outside the intended use of the Services.
8. Acceptable Use Policy
8.1 You agree to use Merdot AI only for lawful purposes and in accordance with these Terms. You are solely responsible for your use of the Services and for your User Content.
8.2 Prohibited conduct. You must not, and must not attempt to, use Merdot AI to:
Violate any applicable law, regulation, or third-party right
Engage in, promote, or facilitate illegal activity of any kind
Create, distribute, or facilitate malware, viruses, ransomware, or other harmful code
Conduct hacking, unauthorized access, cyber abuse, or unlawful surveillance
Harass, threaten, bully, defame, or abuse any person or group
Promote hatred, discrimination, or violence against individuals or groups
Generate sexual content involving minors, or any content that exploits or endangers minors
Create non-consensual intimate or sexual content involving real people
Create deceptive deepfakes, synthetic media, or impersonations intended to deceive or harm
Interfere with elections, spread deliberate political disinformation, or produce misleading content designed to manipulate public opinion unlawfully
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Infringe the intellectual property, privacy, publicity, or other rights of others
Upload or share content that you do not have the right to submit
Engage in spam, phishing, scams, or other deceptive or fraudulent activity
Scrape, crawl, harvest, or extract data from the Services by automated means without permission
Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or underlying technology
Circumvent, disable, or interfere with security, rate limits, usage limits, or access controls
Overload, disrupt, or impair the Services or the infrastructure that supports them
Resell, sublicense, or provide access to the Services to third parties without our written permission
Abuse free trials, create multiple accounts, or use stolen or unauthorized payment methods to evade limits or payment
Present AI Output as verified professional advice or as human-authored where doing so is deceptive
8.3 We may investigate suspected violations and may remove content, restrict features, or suspend or terminate accounts that violate this Acceptable Use Policy, as described in Section 21.
9. User Content and the License You Grant Us
9.1 Ownership. As between you and Merdot Technologies, you retain your rights in the User Content you submit to Merdot AI, subject to applicable law and third-party rights. We do not claim ownership of your User Content merely because you submit it.
9.2 Your responsibilities. You represent and warrant that you have all rights, licenses, and permissions necessary to submit your User Content and that your User Content does not violate any law or any third-party right. You must not upload confidential, sensitive, proprietary, unlawful, infringing, or third-party content unless you have the right and permission to do so.
9.3 License to operate the Services. You grant Merdot Technologies a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and adapt your User Content solely to the extent necessary to operate, provide, secure, personalize, and improve the Services, to generate Outputs for you, to maintain your history and Memory, to provide support, to enforce these Terms, and to comply with legal obligations. This license ends when your User Content is deleted from our systems, except to the extent it must be retained as described in our Privacy Policy or by law, and except for content that has been de-identified or aggregated.
9.4 Backups and processing. To provide the Services, we and our service providers may make copies of your User Content for backup, caching, security, and processing purposes.
10. AI-Generated Output
10.1 As between you and us, and subject to these Terms and applicable law, you may use the AI Output generated for you in response to your Input.
10.2 Similarity of Output. Due to the nature of artificial intelligence, Output may not be unique. Similar or identical Output may be generated for other users, and you may not claim exclusive rights over Output that is not genuinely original to you.
10.3 Output may be inaccurate. AI Output may be incorrect, incomplete, outdated, biased, misleading, or unsuitable for your particular situation. Output depends heavily on the quality of your Input and on the limitations of the underlying AI models.
10.4 Not professional advice. AI Output is provided for general informational purposes only and is not professional advice. Merdot AI is not a substitute for a doctor, lawyer, chartered accountant, financial advisor, teacher, government official, licensed professional, or any qualified human decision-maker.
10.5 Verify important decisions. You are responsible for reviewing and independently verifying AI Output before relying on it, especially for legal, medical, financial, tax, academic, governmental, safety-related, or other important or high-risk decisions. Do not rely on AI Output as the sole basis for any important decision.
10.6 Your responsibility for use of Output. You are responsible for how you use AI Output, including ensuring that your use complies with applicable law and does not infringe the rights of others.
11. AI Image Generation Terms
11.1 Merdot AI includes an AI image generation feature. Your use of it is subject to these Terms, including the Acceptable Use Policy in Section 8, and to the free-tier limit described in Section 7.
11.2 Prohibited image content. You must not use image generation to create, and you must not attempt to create, images that:
Depict or sexualize minors in any way
Are non-consensual intimate or sexual images of real people
Are deceptive deepfakes or realistic impersonations intended to deceive, defraud, or harm
Depict, promote, or facilitate violence, terrorism, or other illegal acts
Contain hateful, harassing, or discriminatory content
Infringe the intellectual property, privacy, or publicity rights of others
Are otherwise unlawful under applicable law
11.3 Your responsibilities. You are responsible for the prompts you submit and for how you use, publish, or distribute generated images. You represent that you have the rights needed for any reference input you provide and that your use of generated images will comply with applicable law.
11.4 We may refuse or restrict. We use automated and other safety measures and may refuse, block, or restrict image generation requests, or remove generated content, that we reasonably believe violate these Terms or applicable law. Safety systems are not perfect and may occasionally block permitted requests or fail to block prohibited ones.
12. Memory and Personalization
12.1 Merdot AI can remember certain facts and preferences to personalize your experience across conversations. This Memory is described in our Privacy Policy.
12.2 Memory is retained while your account is active and is not automatically expired. You can request deletion of your Memory, and Memory is deleted when you permanently delete your account, subject to the retention rules in our Privacy Policy.
12.3 You are responsible for the accuracy of the information you choose to share with the assistant and for any consequences of that information being used to personalize your Output.
13. Our Intellectual Property and Brand
13.1 Merdot AI, including its brand, name, logo, design, interface, software, source code, workflows, agents, prompts, documentation, product labels, and the overall look and feel of the Services, is owned by or licensed to Merdot Technologies and is protected by intellectual property laws.
13.2 We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own permitted use, subject to these Terms.
13.3 Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reproduce, reverse engineer, or create derivative works from any part of the Services without our prior written permission.
13.4 "Merdot," "Merdot AI," and related names, logos, and marks are brand assets of Merdot Technologies. You may not use them without our prior written permission.
14. Third-Party Services
14.1 Merdot AI relies on third-party services, which may include AI model providers, cloud hosting, storage, our payment partner, analytics, communication tools, and security providers.
14.2 We are not responsible for the acts, omissions, downtime, pricing changes, restrictions, or policy changes of any third-party service. If a third-party service changes, becomes unavailable, increases in cost, or restricts access, we may modify, suspend, limit, or remove affected features.
14.3 Your use of a third-party website or service linked from Merdot AI is governed by that third party's own terms and policies, not by these Terms.
15. Feedback
15.1 If you provide us with ideas, suggestions, feedback, bug reports, or feature requests, you grant Merdot Technologies a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction, attribution, payment, or other obligation to you.
16. Privacy
16.1 Your use of Merdot AI is also governed by our Privacy Policy, available at https://merdotai.com/privacy, which explains how we collect, use, share, and protect your information.
16.2 By using Merdot AI, you agree that your information may be collected, processed, stored, and shared as described in the Privacy Policy.
17. Disclaimers
17.1 To the maximum extent permitted by law, Merdot AI is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.
17.2 We do not warrant that AI Output will be accurate or reliable, that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that every file or request will process correctly, or that any feature or third-party service will remain available.
17.3 You use the Services and any AI Output at your own risk and are responsible for verifying important information and for your own decisions.
18. Limitation of Liability
18.1 To the maximum extent permitted by applicable law, Merdot Technologies, its founder, employees, affiliates, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, reputation, business, or opportunities, arising out of or relating to your use of, or inability to use, the Services or any AI Output, even if we have been advised of the possibility of such damages.
18.2 This includes, without limitation, losses arising from AI Output errors, reliance on AI Output, third-party outages, payment failures, security incidents outside our reasonable control, service interruptions, and your own misuse of the Services.
18.3 To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of the amount you paid to us for the Services in the three (3) months immediately before the event giving rise to the claim, or one thousand Indian Rupees (INR 1,000).
18.4 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
19. Indemnification
19.1 You agree to indemnify, defend, and hold harmless Merdot Technologies, its founder, employees, affiliates, service providers, and partners from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to:
Your use of the Services
Your User Content or your Input
Your violation of these Terms or any applicable law
Your violation of any third-party right, including intellectual property and privacy rights
Your use of, or reliance on, any AI Output
Your use of AI-generated images, code, or documents
19.2 We may, at our own expense, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.
20. Suspension and Termination
20.1 By you. You may stop using Merdot AI at any time and may delete your account, subject to any active subscription commitments.
20.2 By us. We may suspend, restrict, or terminate your access to the Services, in whole or in part, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, that your use creates risk or harm to Merdot AI or other users, that payment has failed, that fraud or abuse has occurred, or that suspension or termination is required by law or by a service provider.
20.3 Effect of termination. On termination, your right to use the Services ends, and you may lose access to your account, conversations, files, Memory, credits, and Outputs. Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
20.4 Deletion of data on termination is handled as described in our Privacy Policy.
21. Enforcement and Content Moderation
21.1 We may, but are not obligated to, monitor, review, and moderate content and activity on the Services to enforce these Terms and to protect users and the platform.
21.2 We may remove or restrict content, limit features, or take other action we consider appropriate to address violations of these Terms, applicable law, or the rights or safety of others.
22. Changes to the Service and to These Terms
22.1 Changes to the Service. We may add, modify, suspend, or discontinue any part of the Services at any time, including features, plans, limits, and integrations, subject to applicable law.
22.2 Changes to these Terms. We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you through a website notice, an in-app notice, email, or an account notification.
22.3 Your continued use of Merdot AI after updated Terms take effect means that you accept the updated Terms. If you do not agree, you must stop using the Services and may delete your account.
23. Governing Law
23.1 These Terms and any dispute or claim arising out of or in connection with them, the Services, or your use of Merdot AI are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
24. Dispute Resolution and Arbitration
24.1 Amicable resolution. Before starting any formal proceedings, you agree to first contact us at contact@merdotai.com and attempt in good faith to resolve any dispute informally. Most concerns can be resolved this way.
24.2 Arbitration. If a dispute cannot be resolved informally within thirty (30) days, the dispute shall be finally resolved by arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 of India, as amended. The arbitration shall be conducted by a sole arbitrator appointed in accordance with that Act.
24.3 Seat and venue. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India, and the language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.
24.4 Courts. Subject to the arbitration provisions above, the courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any matter not subject to arbitration, and either party may seek interim or injunctive relief from those courts.
25. Grievance Officer
25.1 In accordance with the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and other applicable law, we have designated a Grievance Officer to address complaints regarding the Services or content on the platform.

25.3 We will acknowledge complaints and resolve them within the timelines required by applicable law.
26. Force Majeure
26.1 We are not liable for any failure or delay in performing our obligations where the failure or delay results from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, changes in law, labor disputes, power or internet failures, telecommunications failures, cyberattacks, or failures or restrictions of third-party providers.
27. Assignment
27.1 You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
28. Severability
28.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, it will be severed, and the remaining provisions will continue in full force and effect.
29. Waiver
29.1 Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later. Any waiver must be in writing to be effective.
30. Entire Agreement
30.1 These Terms, together with our Privacy Policy and any feature-specific terms or policies we publish, constitute the entire agreement between you and Merdot Technologies regarding the Services and supersede any prior agreements or understandings on that subject.
